These terms govern the freelance software development services provided by Vishal Kumar Chaubey, an independent freelance developer operating in his personal capacity, through https://vishalchaubey.com.

All services described on this website are provided by Vishal Kumar Chaubey as individual / independent freelancer, working in a personal capacity. Invoices are issued in this personal name. Engaging these services means accepting the terms below.
The services available are:
Every engagement starts with a written quotation or proposal that states the scope, the deliverables, the milestones, the fee and the expected timeline. A quotation is valid for thirty days from the date it is issued unless it says otherwise. Work begins once the quotation is accepted in writing and the advance payment is received. Anything not listed in the accepted scope is out of scope, and will be quoted separately before it is taken up.
Payments follow the model stated in the accepted quotation, which is normally advance payment followed by milestone payments. The advance is payable before work starts, and each milestone becomes payable when the deliverables for that milestone are handed over. Invoices are due within seven days of being issued.
Prices are as quoted. Applicable taxes, if any, will be charged as per law.
Fees are quoted in INR (Indian Rupee). USD is accepted for international clients. Payments made through this website are processed by Cashfree Payments. Payment gateway charges, bank charges and currency conversion costs are borne by the client where they apply. Work on later milestones may be paused while an invoice remains unpaid.
The timeline in the accepted quotation is an estimate made in good faith on the basis of the agreed scope. Delays caused by late feedback, late access to systems or third-party accounts, changes to the scope, or delays at an app store or other third party extend the timeline by the period of the delay. A revised timeline is shared in writing whenever this happens.

Each milestone includes two rounds of revision within the agreed scope. Further revisions, and any request that changes the scope, are quoted separately and are taken up once that quotation is accepted.
Ownership of the source code, designs and documents produced for a project transfers to the client once the full fee for that project has been received. Until then they remain the property of Vishal Kumar Chaubey and are licensed to the client only for review.
Third-party libraries, frameworks and services used in the work remain under their own licences. Generic knowledge, techniques and reusable components that existed before the project, or that are not specific to the client, remain available for use in other work. Applications and digital products published under the /apps section of this website are not transferred to any client; they are licensed for use as described on their own pages.
Business information, credentials, designs and data shared for a project are treated as confidential, are used only for that project, and are not disclosed to anyone else except where the law requires it. This obligation continues after the project ends. A separate non-disclosure agreement can be signed on request.
Completed work may be shown in the portfolio on this website, unless the client asks in writing that it is not. Confidential details, credentials and client data are never published in any case.
Each delivered milestone carries thirty days of support for defects: a deliverable that does not behave as the agreed scope describes is corrected at no charge within that period. New features, changes caused by third-party updates after delivery, and issues caused by changes made by someone else are not covered, and are quoted separately.
The services are provided with reasonable skill and care, but they are not warranted to be free of every defect. To the extent permitted by law, total liability for any claim arising out of an engagement is limited to the fees actually received for that engagement. There is no liability for indirect or consequential losses, including lost profit, lost revenue, lost data or business interruption. Nothing in these terms limits liability that cannot be limited under Indian law.
Either side may end an engagement by giving written notice. Work completed up to the date of termination is payable in full, and the refund of anything paid in advance is governed by the Refund & Cancellation Policy. On termination, each side returns or deletes the other's confidential material on request.
Neither side is liable for a delay or failure caused by an event beyond its reasonable control, including a natural disaster, a prolonged power or internet failure, a government restriction or an outage at a third-party provider. The affected obligations are suspended for as long as the event lasts.
These terms are governed by the laws of India. The courts at Maharajganj, Uttar Pradesh, India have exclusive jurisdiction over any dispute arising out of them. Before going to court, both sides agree to try to resolve the dispute by discussion in good faith.
These terms may be revised from time to time; the date at the top of this page shows when they were last changed. The terms that apply to an engagement are the ones published at https://vishalchaubey.com/terms-and-conditions on the date the quotation was accepted.
